Boeing Acquires Spirit AeroSystems in $4.7 Billion Fuselage Maker Deal

Boeing announced on Monday its acquisition of fuselage maker Spirit AeroSystems in a $4.7 billion all-stock deal to improve safety and quality control. The transaction value, including Spirit's debt, amounts to $8.3 billion. Spirit, headquartered in Wichita, Kansas, provides fuselages for the 737 and parts for the 787 Dreamliners.
This move comes after a fuselage panel blew out midair from a Boeing 737 Max 9, causing a crisis for Boeing. Spirit had a market capitalization of $3.8 billion before the acquisition. With Boeing accounting for 70% of Spirit's revenue and Airbus for a quarter, the deal aims to enhance production alignment and workforce cohesion.
The deal, expected to close in mid-2025, will require regulator, shareholder, and Airbus operator approvals. CEO Dave Calhoun anticipates the acquisition will strengthen Boeing's quality and commitment to safety. Potential CEO Pat Shanahan could succeed Calhoun, given his leadership at Spirit. Airbus, on the other hand, will receive $559 million in compensation from Spirit for Airbus-related manufacturing lines.
